How to properly register an LLP, draw up the company’s Articles of Association, determine the subject of entrepreneurship and set the amount of the authorised capital? These and many other questions are asked by entrepreneurs when registering an LLP. Currently in the Republic of Kazakhstan it is possible to register an LLP in 1 day independently. However, when registering an LLP on their own, many novice entrepreneurs may encounter difficulties: incorrectly executed name, errors in determining the authorised capital, etc. Registration of an LLP with foreign participation or registration of a branch (representative office) of a foreign company on their own is very problematic. For state registration of a legal entity, an application in the form established by the Ministry of Justice of the Republic of Kazakhstan shall be submitted to the registering authority and the constituent documents specified in the Law of the Republic of Kazakhstan “On State Registration of Legal Entities and Record Registration of Branches and Representative Offices”, drawn up in the Kazakh and Russian languages and submitted in three copies, shall be attached.
For the state registration of a legal entity belonging to a small business entity, the founder(s) shall submit to the registering authority a notification on the commencement of entrepreneurial activity in the form established by the Ministry of Justice of the Republic of Kazakhstan.
Charters (regulations) of legal entities belonging to small businesses, their branches and representative offices are not submitted in the process of state registration.
Charters (regulations) of legal entities belonging to medium and large businesses, their branches and representative offices, except for charters (regulations) of joint stock companies, their branches and representative offices, shall not be submitted for state registration.
The founding documents of business partnerships, joint stock companies, production co-operatives and unions of legal entities in the form of associations (unions) are the memorandum of association and the charter.
